# Managed service provider (MSP) contract management guide

Lou Van Reemst Oct 17, 2026

Copy for LLM

A managed service provider (MSP) with 140 clients signs a new statement of work (SOW) with Harbor Dental. It adds endpoint backup at a higher monthly fee. The SOW sits in an account manager's inbox, not next to the master service agreement (MSA). Ten months later the MSA auto-renews at the old price, and the annual price review never happens. MSP contract management closes that gap. You keep each client's MSA, SOWs, service level agreement (SLA) schedules, quotes and amendments as one linked set. Each set has its dates, money terms and one named owner.

This guide covers US commercial practice for MSP client agreements, with New York's General Obligations Law § 5-903 as the legal example. It is general information, not legal advice.

AI now carries much of the lookup work. Clara, Contracko's AI assistant, answers questions across all your contracts and searches inside the documents. The Contracko Model Context Protocol (MCP) server lets Claude, ChatGPT, Codex or Copilot ask the same questions from the assistant your team already uses. This guide shows where each one fits in the workflow.

## MSP contract management: purpose and timing

An MSP's revenue sits in recurring agreements. Most clients have one MSA and several documents beneath it. If you need a refresher on that parent agreement, read [what a master service agreement is](https://contracko.com/blog/what-is-a-master-service-agreement). The [difference between a SOW and a contract](https://contracko.com/blog/sow-vs-contract) explains how scope documents attach to it.

The work matters at five moments:

- Signing a new client. The MSA, first SOW and SLA set the terms you will track for years.
- Changing scope. A new SOW, quote or amendment changes price, devices or service levels.
- Price review. An MSA may allow a yearly increase, sometimes tied to the Consumer Price Index (CPI). The increase only happens if someone acts before the anniversary.
- Renewal and notice. Auto-renewal terms have notice windows on both sides. Missing one locks in a term you did not want, or loses you a client you thought was secure.
- Exit. Termination triggers offboarding duties: data return, credential handover and account removal.

Security terms add a further reason. Cybersecurity agencies from the US, UK, Australia, Canada and New Zealand issued a joint advisory on MSPs. The US agency among them is the Cybersecurity and Infrastructure Security Agency (CISA). The advisory tells MSP customers to check that their contracts specify security measures. It also tells them to make clear whether the MSP or the customer owns tasks such as hardening, detection and incident response [1]. Clients will ask you what your contract promises. You need the answer fast.

This is where AI changes the timing. You no longer have to wait for a quarterly review to find what is due. You can ask Clara, or your own assistant over MCP, at the moment the question comes up.

## What information to capture before starting

Before you build the workflow, decide which facts you record for every client. Capture them once, at signing, so nobody rereads a PDF before a renewal call.

| Field | Where it usually sits | Why it matters |
| --- | --- | --- |
| Client and named account owner | Your contract record | One person answers for renewals and price reviews |
| MSA start date, term and renewal type | MSA | Drives every notice deadline |
| Notice period for non-renewal | MSA | Sets the last safe day to act |
| Price review and CPI uplift terms | MSA or pricing schedule | Shows whether, when and how much you can raise fees |
| Service tier, seats and devices | SOW or quote | Changes the monthly bill |
| SLA response and resolution times, service credits | SLA | Sets what you owe on a priority 1 call |
| Third-party licences you resell | Vendor terms and order forms | Your commitment can outlast the client's |
| Termination and offboarding duties | MSA or exit schedule | Lists what you must hand back, and when |

Two inputs need extra care. The first is the SLA. Our guide to [what an SLA is](https://contracko.com/blog/what-is-an-sla) covers response times, uptime targets and credits.

The second is reseller commitments. Microsoft sets new commerce terms for its Cloud Solution Provider (CSP) partners. Licence counts on a subscription can only be reduced within seven days of being added, except where law requires otherwise [3]. Partners can cancel with a prorated refund within the first seven days (168 hours) of a term, again except where law requires otherwise [3]. After that, the partner is billed for the full term even if the customer stops paying [3]. A client contract with a 30-day exit can therefore leave you holding a year of licences. Record both dates side by side.

## MSP contract management: step-by-step workflow

Work through these steps in order for each client. The AI examples show what each step looks like once your contracts sit in Contracko.

1. Collect every agreement in one place. Gather the MSA, SOWs, SLAs, signed quotes, amendments and vendor order forms for each client. A [contract repository](https://contracko.com/blog/contract-repository-guide) with one counterparty record per client keeps them together.
2. Give the set a structure. Use contract types such as MSA, SOW and SLA, and a folder per client or segment. Contracko links amendments and attachments to their main contract [6].
3. Extract the key fields. Pull dates, values, renewal terms and the fields in the table above into structured data. Custom fields on a contract type can hold service tiers and licence counts.
4. Assign an owner. Name one account owner per client. Reminders go to that person, not to a shared inbox.
5. Set dates and reminders. Record end dates, auto-renewal and notice periods. Our guide to [contract dates and auto-renewals](https://contracko.com/docs/contract-dates) shows how notice periods work in Contracko. Add separate reminders for the price review date and for vendor licence windows.
6. Check obligations before each call. Before a P1 escalation, a quarterly review or a renewal meeting, confirm what the SLA and SOW promise.
7. Run renewals as a process. Open each renewal 90 to 120 days out. Decide on price, scope and term before the notice date. Our guide on [how to manage contract renewals](https://contracko.com/blog/how-to-manage-contract-renewals) covers the full renewal cycle.
8. Close out cleanly. At termination, work through the exit duties, revoke access and end resold licences inside their vendor windows.

### Worked examples with Clara

Clara works inside Contracko. It reads your whole portfolio and cites the contracts and clauses behind each answer [6]. It also searches the actual contract text, not just the extracted fields [6]. In MSP terms:

- Step 7, renewals. "Which clients renew in the next 90 days, and what notice does each MSA require?" Clara lists the contracts and their notice windows, so the account owner sees the last safe day to act.
- Step 3, retired tiers. "Which SOWs still reference our Silver support tier?" Because Clara searches inside documents, it finds the tier name in SOW text even when nobody recorded it as a field.
- Steps 3 and 7, price reviews. "Which MSAs have no CPI uplift or annual price review clause?" The answer becomes your list of agreements to fix at the next renewal.
- Step 6, before a P1 call. "What is Harbor Dental's SLA response time for a priority 1 incident?" The service desk gets the contractual answer, with the clause it came from, before calling the client back.

Clara can also help update contracts, parties, events and reminders inside your workspace [6].

### Worked examples with the Contracko MCP server

MCP is an open standard that lets AI applications connect to outside tools and data [4]. Contracko's MCP server uses one OAuth sign-in. It lets Claude, ChatGPT, Codex, Copilot or a coding agent work with your contracts, AI analysis, parties, contract types and document intake [5].

- Step 2, structure. An operations lead asks Claude: "Agree a folder structure for our MSAs, SOWs, SLAs and data processing agreements, then create it and file our contracts." The assistant confirms the structure first. Then it creates the folders and files the contracts you can access [5].
- Step 7, renewals. An account manager asks ChatGPT: "Which of my clients' contracts end or need notice next quarter?" The assistant narrows by counterparty, contract type, status, folder or notice date, then reads the results from Contracko [5].
- Step 5, reminders. With write access, the same assistant can set or change reminders on a contract [5].
- Steps 1 and 3, a contract backlog. After an acquisition, an operations lead asks Claude: "Check our parser credits and preflight these 200 client agreements before you queue anything." Through the parsing MCP, the assistant validates the batch first. Then it creates secure upload links, starts the parsing job and reports which files completed or failed [5]. The structured results feed the fields from the table above.

The benefit for an MSP is fewer tool switches. A technician who already works in an assistant can check a client's terms without opening another app. If your assistant also has other tools connected, it can combine those answers with the contract answer. That depends on your own assistant setup, not on Contracko.

## Common failure modes

Most MSP contract problems come from a handful of gaps.

- SOWs live apart from the MSA. Scope changes never reach the renewal file. The renewal goes ahead at old prices or old service levels.
- No price review date. The MSA allows a yearly CPI uplift, but nobody tracks the anniversary. The increase is lost for that year.
- Missed notice windows. A client's auto-renewal passes without a decision. You either lock in weak terms or face a surprise exit.
- Renewal notices you owe. Some US states regulate auto-renewal in service contracts. New York General Obligations Law § 5-903 covers contracts for service, maintenance or repair to or for real or personal property. In New York, an auto-renewal clause in such a contract cannot be enforced against the client unless the provider sends written notice. That notice must be served personally or by certified mail, 15 to 30 days before the client's deadline to give notice, and must point to the renewal clause [2]. In New York, the section does not apply when the renewal period is one month or less [2]. Whether a given managed-service agreement falls within it depends on the services, so confirm with New York counsel.
- Seat counts drift. Devices and users change every month. The SOW and the invoice stop matching.
- Vendor terms outlast the client. Resold licences keep billing after the client leaves [3].
- Exit duties go undone. CISA notes that disabling MSP accounts can be overlooked when a contract ends [1]. Data return and credential handover slip too.
- No owner. When everyone owns renewals, nobody does.

## Practical checklist

Use this checklist when you onboard a client and again before each renewal:

- MSA, SOWs, SLAs, quotes and amendments filed under one client record
- Named account owner recorded
- Start date, term, renewal type and notice period captured
- Price review date and CPI uplift terms captured, or flagged as missing
- Current service tier, seats and devices match the latest SOW
- SLA response times and service credits recorded
- Resold licences listed with their vendor cancellation windows
- Auto-renewal notices you must send to clients checked against state law
- Reminders set for notice date, price review and vendor windows
- Offboarding duties listed: data return, credentials, account removal
- Clara or your MCP assistant asked to confirm nothing is missing

## Where software helps

A spreadsheet can list dates. It cannot read a SOW, link it to its MSA or warn the right person. [Contract management best practices](https://contracko.com/blog/contract-management-best-practices) all depend on that link holding across the [contract lifecycle](https://contracko.com/glossary/contract-lifecycle). For an MSP, software earns its place in four jobs.

Answering portfolio questions. [Clara](https://contracko.com/features/clara-legal-ai-assistant) answers questions across every contract and cites where each answer came from [6]. It searches clause text, so questions about retired tiers or missing uplift clauses work on documents nobody tagged. It also gives daily briefings and flags renewals and notice windows [6]. For an account manager with 30 clients, that means one question instead of 30 files.

Working from the assistant your team already uses. The [Contracko MCP server](https://contracko.com/mcp) is included in every Contracko plan [5]. Claude connects from its connector directory. ChatGPT connects as an app in developer mode. Codex, Cursor, Visual Studio Code and other coding agents add it through their own MCP settings [5]. Microsoft 365 Copilot is limited to a read-only connector, which your admin enables once it is listed in Microsoft's connector gallery [5].

Control stays with you. You choose read or write access when you connect. The assistant acts as you and can only reach what your account can reach [5]. Write actions go through your assistant's approval step before they run. They also appear in Contracko's activity history, labelled as coming from MCP [5]. Start with read access while the team learns what to ask. The [contract management MCP page](https://contracko.com/mcp/contract-management) shows the setup steps per assistant. For a renewal-focused walkthrough, read [contract renewal reminders with MCP](https://contracko.com/blog/contract-renewal-reminders-with-mcp).

Onboarding a contract backlog. Acquiring another MSP or taking on a large client often means hundreds of old agreements. The [parsing MCP](https://contracko.com/mcp/parsing) handles this from the assistant. It checks credits, preflights a batch, creates secure upload links, starts parsing jobs and returns structured results [5]. Checking credits and preflighting a batch do not use parser credits [5]. You see the scope of the job before anything is queued. The parser can also extract custom fields, such as service tiers or licence counts, when you select a contract type. Read more on [contract data extraction](https://contracko.com/docs/contract-data-extraction).

Catching dates before they bite. Reminders track notice, renewal and end dates. You can set several per contract, assign them to colleagues and have them repeat when a contract renews [6]. Each [contract renewal](https://contracko.com/glossary/contract-renewal) then reaches its owner in time. For service levels, our guide to [SLA management software](https://contracko.com/blog/sla-management-software) explains what to track.

Know the limits too. Contracko does not draft your client agreements, monitor SLAs from ticket data or bill your clients. Your professional services automation (PSA) and ticketing tools keep those jobs.

## Next step

Pick your ten largest clients. Check each one against the checklist above and note every missing field. Then load those agreements into one place and ask your first question: which of them renew or need notice in the next 90 days?

To try this on your own agreements, start a free trial and connect your assistant through the [MCP setup page](https://contracko.com/mcp). For plan details, see [pricing](https://contracko.com/pricing).
