### 3. Purchase Price and Payment

### 4. "As Is" Clause and Warranties

The Seller certifies that they are the legal owner of the Item and have the full right and authority to sell and transfer the Item. The Item is sold "AS IS" without any warranties, express or implied, as to its condition or fitness for a particular purpose. The Buyer acknowledges that they have inspected the Item and accept it in its current condition.

The Seller warrants that the Item is free and clear of all liens and encumbrances.

### 5. Governing Law

This Bill of Sale shall be governed by and construed in accordance with the laws of California. The parties agree that any legal action or proceeding relating to this Bill of Sale shall be instituted in a state or federal court in Los Angeles County, and the parties hereby submit to the jurisdiction of such courts.
