# Renewal clause

A provision setting out how and when a contract is extended after its initial term ends.

## Définition

A renewal clause governs the mechanics of extending the agreement: the length of each renewal period, whether renewal is automatic or requires an affirmative step, and the notice a party must give to prevent extension. Well-drafted clauses align the renewal term with the notice period so neither party is trapped. Dutch consumer-protection rules (Wet Van Dam) limit how long an automatic renewal and its notice period may be.

  **A:** The parties must fall back on the general rules: for open-ended contracts Dutch law usually requires a reasonable notice period. The absence of a defined period creates uncertainty and risk for both sides.

  **A:** In principle yes, if it is part of standard terms and is unreasonably onerous under BW 6:233. The grey list in BW 6:236 sets specific limits for consumer contracts, but courts can also set aside B2B clauses that are disproportionate.

- **Q:** Does a renewal clause have to specify the renewal period?
  **A:** Best practice is yes. Without a stated period, it is ambiguous whether renewal runs for the same length as the original term or for an indefinite period, which can cause disputes.

- **Q:** Can a party give notice to prevent renewal and then withdraw that notice?
  **A:** Yes, with the consent of the other party. A unilateral withdrawal is not automatically effective; the counterparty must agree to continue. This is sometimes done through a pro forma notice.

- **Q:** Is a renewal the same as a new contract?
  **A:** Not usually. A renewal continues the existing contract for a further period, often on the same terms. A new contract replaces the old one entirely. The distinction matters for warranties, liability history, and any minimum term running from the start.
