# Notice period

The advance warning a party must give before ending or not renewing a contract.

## Définition

A notice period is the minimum time a party must give before termination or non-renewal takes effect, giving the other side time to adapt. The required length and form (often written) are set in the contract. For Dutch consumer contracts, the so-called Wet Van Dam caps notice periods after silent renewal at one month, and unreasonably long periods in standard terms may be void.

## Exemple

> A consumer who forgot to cancel a magazine subscription can, after the first silent renewal, terminate with one month's notice at any time.

## Pourquoi c'est un risque pour l'entreprise

A notice period that is too short can leave the other party unable to find an alternative supplier in time, which may itself constitute a breach. A period that is too long can trap you in a contract you need to exit. In B2B contracts with no notice clause, the reasonable notice required by Dutch law can be disputed and is determined case by case.

## Comment le gérer

- Set the notice period at a length that genuinely allows both sides to transition: 30 to 90 days is typical for most service contracts.
- Specify both the minimum notice period and the method of delivery (written notice, email to a named address) so there is no dispute about whether notice was validly given.
- Diarise notice deadlines centrally so team members responsible for renewals are alerted well before the window closes.

- **Q:** Can a business impose a long notice period on consumers?
  **A:** For Dutch consumer contracts, no: after a silent renewal the consumer may cancel at any time with at most one month's notice, and overly long periods are presumed unreasonable.

- **Q:** Does a notice period apply when terminating for cause?
  **A:** Not always. Termination for material breach (dissolution under BW 6:265) can take immediate effect once the debtor is in default. Termination for convenience, by contrast, typically requires notice.

- **Q:** What happens if notice is given but the wrong method is used?
  **A:** The notice may be invalid, meaning the contract has not been terminated and may roll over for another period. Courts look at the actual knowledge of the other party, but it is risky to rely on this rather than following the contractual method.

- **Q:** Can parties waive the notice period by mutual agreement?
  **A:** Yes. Parties can agree to end a contract immediately or on a different date. Such a waiver should be confirmed in writing to avoid later disputes about whether it was agreed.

- **Q:** What is the difference between a notice period and a notice window?
  **A:** A notice period is the lead time required before termination takes effect. A notice window is the specific time bracket before renewal in which notice must be given to prevent auto-renewal. Missing the window means the contract renews even if you give notice afterwards.
