- **Q:** What does the side letter review cover?
  **A:** It reviews one side letter on its own and returns a summary, dates, financial terms, renewal and termination, governing law, liability and indemnity, obligations, notice terms, a risk score, up to six red flags, and missing or unclear clauses. It is a general contract review applied to your side letter, so MFN and election language, fee concessions, reporting rights, transfer terms, excuse rights, and notice deadlines appear in these sections when the letter states them clearly. It does not use a dedicated side letter checklist, so check each of these topics against the letter yourself.

- **Q:** Does it compare the side letter with the LPA?
  **A:** No. The tool reads only the file you upload. It does not compare the letter with the LPA, other side letters, or the terms of other investors. When a clause refers to the LPA or another document, read that document yourself before you rely on the clause.

- **Q:** Can it tell whether an investor qualifies for MFN treatment?
  **A:** No. It summarizes the MFN and election language when the letter states it clearly, and it can flag terms that need attention. Whether an investor qualifies depends on the LPA, other side letters, and legal judgment. Your fund counsel or operations team must confirm it.
