Employee Non-Disclosure Agreement
This Employee Non-Disclosure Agreement (the "Agreement") is entered into on 2023-10-01 by and between Company Inc. ("Employer") and New Hire ("Employee").
1. Confidential Information
Employee acknowledges that during the course of employment, they will have access to confidential information, including but not limited to: customer lists, financial data, software code, marketing strategies, and trade secrets.
2. Obligations
Employee agrees to keep all Confidential Information strictly confidential and not to disclose it to any third party without the prior written consent of Employer. Employee agrees to use such information solely for the purpose of performing their duties for the Employer.
3. Term
The obligations of this Agreement shall survive the termination of employment for a period of 3 years. However, for any information that constitutes a trade secret under applicable law, the confidentiality obligations shall continue for as long as such information remains a trade secret.
4. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of New York. The parties agree that any legal action or proceeding relating to this Agreement shall be instituted in a state or federal court in New York County, and the parties hereby submit to the jurisdiction of such courts.
