An NDA term and its confidentiality period are not the same date
The most common NDA mistake is assuming the agreement is over when the term ends. The term governs how long parties keep exchanging confidential information. The survival clause governs how long that information stays protected, frequently two, three, or five years after the term, and sometimes indefinitely for trade secrets. Teams that treat the term-end date as the expiry date can disclose or reuse information that is still legally protected. A useful NDA reminder tracks both dates separately: when the relationship's disclosure period ends, and when the confidentiality obligation finally lifts.
The return-or-destroy step everyone forgets
Most NDAs include an obligation to return or destroy confidential materials within a set window after termination. It is the single most-ignored clause in the agreement, because nothing prompts it, the term simply ends and everyone moves on. But the obligation is real, and in a dispute, failing to certify destruction is evidence of sloppy handling.
