Contract renewal extends a contract past its agreed end date, either through an active decision by the parties or an automatic-renewal mechanism. The terms may remain identical or be renegotiated; the renewal period and notice requirements are usually fixed in a renewal clause. For consumer and certain service contracts, Dutch law caps how restrictive automatic renewals may be.
Exemple
A two-year SaaS subscription renews for successive one-year terms unless either party gives notice three months before expiry.

Automatic renewal traps are one of the most common contract surprises for businesses. Missing a notice window by even a day can lock you in for another full year at terms you wanted to renegotiate. Organisations managing many contracts frequently discover renewals only after they have already triggered, leaving them bound to pricing or conditions that no longer reflect the market.

- Record the notice deadline for every contract the moment it is signed, not when the term is nearing its end.
- Set a reminder at least 90 days before each deadline so there is enough time to review, renegotiate, or give notice.
- Review the renewal terms and pricing before the reminder fires, not after it arrives.
- Keep the notice-period obligation visible to both the legal and operational owner of the contract.
- Confirm any notice in the form the contract requires (e.g. registered letter or email to a named address) to avoid validity disputes.
