Employment Contract
This Employment Contract (the "Contract") is made effective as of 2023-10-01, by and between:
Employer: Company Inc. Address: 123 Corporate Blvd (the "Employer")
AND
Employee: John Doe Address: 456 Home St (the "Employee")
1. Position and Duties
The Employer agrees to employ the Employee as a Software Engineer. The Employee agrees to perform the duties and responsibilities associated with this position as reasonably assigned by the Employer. The Employee shall report to CTO.
The Employee agrees to devote their full business time, attention, and best efforts to the performance of their duties and to the interests of the Employer. The Employee shall not engage in any other employment or business activity that conflicts with the interests of the Employer without prior written consent.
2. Term of Employment
Employment under this Contract shall commence on 2023-10-01 and shall continue on an "at-will" basis. This means that either the Employee or the Employer may terminate the employment relationship at any time, with or without cause, and with or without notice, subject to the provisions of Section 9.
3. Compensation
As compensation for the services provided, the Employer shall pay the Employee a salary of $80000 per year (e.g., year, hour), subject to standard withholdings and deductions required by law. Payment shall be made on the last day of each month (e.g., month, bi-weekly period).
4. Benefits
The Employee shall be entitled to participate in any benefit plans offered by the Employer to its employees, including but not limited to health insurance, retirement plans, and other benefits, subject to the terms and conditions of such plans and the Employer's policies, which may be amended from time to time.
5. Probationary Period
The first 3 months of employment shall constitute a probationary period. During this time, the Employer may evaluate the Employee's performance and suitability for the position. The Employer reserves the right to terminate this Contract during the probationary period at its sole discretion.
6. Work Hours and Location
The Employee is expected to work 40 hours per week. The standard work schedule shall be from 9:00 AM to 5:00 PM, Monday through Friday. The Employee's primary place of work shall be at Company HQ, or such other location as the Employer may reasonably require.
7. Vacation and Leave
The Employee shall be entitled to 15 days of paid vacation per year, which shall accrue in accordance with the Employer's policies. Vacation time must be scheduled in advance and approved by the Employer. The Employee is also entitled to sick leave and other types of leave as required by applicable law or company policy.
8. Confidentiality and Intellectual Property
Confidentiality: The Employee acknowledges that during the course of employment, they will have access to confidential information regarding the Employer's business, including but not limited to client lists, trade secrets, business plans, and financial data. The Employee agrees not to disclose, use, or copy any such confidential information, except as required for the performance of their duties, during or after their employment.
Intellectual Property: Any intellectual property, including but not limited to inventions, designs, software, and creative works, developed by the Employee during the course of employment and related to the Employer's business shall be the sole property of the Employer. The Employee hereby assigns all rights, title, and interest in such intellectual property to the Employer.
9. Non-Compete and Non-Solicit
During the term of this Contract and for a period of 1 year following the termination of employment, the Employee agrees not to: (a) Engage in any business that competes with the Employer within 50 miles; (b) Solicit any of the Employer's clients, customers, or vendors; (c) Solicit or hire any of the Employer's employees.
10. Termination
Either party may terminate this Contract at any time upon 2 weeks written notice to the other party. The Employer may terminate this Contract immediately for cause, including but not limited to misconduct, negligence, theft, or material breach of this Contract. Upon termination, the Employee shall return all Employer property and confidential information.
11. Governing Law
This Contract shall be governed by and construed in accordance with the laws of the State of California. The parties agree that any legal action or proceeding relating to this Contract shall be instituted in a state or federal court in San Francisco County, and the parties hereby submit to the jurisdiction of such courts.
12. Entire Agreement
This Contract contains the entire agreement between the parties and supersedes all prior negotiations, agreements, and understandings, whether written or oral. This Contract may not be amended except in writing signed by both parties.
