This Equipment Rental Agreement (the "Agreement") is made on 2023-10-01 (the "Effective Date") between Owner Inc. ("Owner") with an address of 123 Owner St and Renter LLC ("Renter") with an address of 456 Renter Rd.

2. Rental Period

Total Rental Duration: 7 days / 0 hours

Pickup Method: Renter pickup (Renter pickup / Owner delivery)

Return Method: Renter return (Renter return / Owner pickup)

Late Return: Equipment returned after the End Date will incur additional charges of $100 per day (hour/day).

3. Rental Fees and Payment

Rental Rate: $500 per day (day/week/month)

Total Rental Fee: $3500

Security Deposit: $1000 (refundable upon return of equipment in good condition)

Delivery Fee: $150 (if applicable)

Pickup Fee: $150 (if applicable)

Payment Schedule:

  • Security Deposit: Due upon signing
  • Rental Fee: due before pickup (due before pickup / upon return)
  • Total Due at Signing: $4650

Payment Method: Credit Card

Late Payment: Payments not received by due date will incur a late fee of $50.

4. Security Deposit and Refund

Deposit Amount: $1000

Deposit Purpose: To cover potential damage, loss, excessive cleaning, or late return fees.

Refund Conditions: Deposit will be refunded within 7 days after return if:

  • Equipment is returned on time
  • Equipment is in same condition as when rented (normal wear and tear excepted)
  • Equipment is clean and ready for next rental
  • No additional fees are owed

Deductions from Deposit: Owner may deduct from deposit for:

  • Repair costs for damage
  • Replacement cost if equipment is lost or stolen
  • Cleaning fees if equipment is excessively dirty
  • Late return fees
  • Any other fees specified in this Agreement

5. Condition and Inspection

Initial Condition: Renter acknowledges that the equipment is in good working condition as of the Start Date, except as noted: pre existing damage

Inspection: Renter has inspected the equipment and accepts it in "as-is" condition.

Return Condition: Equipment must be returned in the same condition, clean, and in working order, allowing for normal wear and tear.

6. Use and Operation

Authorized Use: Equipment may only be used for: authorized use

Prohibited Uses:

  • Any illegal activities
  • Subleasing or renting to third parties
  • Use beyond equipment's rated capacity
  • Operation by unauthorized or unqualified persons
  • Use in hazardous conditions without proper authorization

Operator Qualifications: operator requirements (e.g., must have valid license, certification, training)

7. Maintenance and Repairs

Owner's Responsibility:

  • Equipment is provided in good working condition
  • Owner is responsible for repairs due to normal wear and tear
  • Owner is responsible for defects existing prior to rental

Renter's Responsibility:

  • Perform routine maintenance during rental period: routine maintenance
  • Immediately notify Owner of any malfunction or damage
  • Renter is responsible for damage caused by misuse, abuse, or negligence
  • Renter shall not attempt repairs without Owner's written consent

Breakdown Procedure: If equipment breaks down, Renter must:

  1. Stop using equipment immediately
  2. Notify Owner within breakdown notice hours hours
  3. Follow Owner's instructions
  4. Not attempt unauthorized repairs

8. Loss, Damage, and Liability

Renter's Liability: Renter assumes full responsibility and liability for:

  • Loss or theft of equipment
  • Damage to equipment (except normal wear and tear)
  • Injury or property damage caused by equipment use
  • Environmental damage or cleanup costs

Damage Costs: Renter shall pay:

  • Actual repair costs for damaged equipment
  • Replacement value if equipment is lost, stolen, or damaged beyond repair: replacement value
  • Loss of rental income during repair period

Insurance: insurance requirements

Renter insurance required (must/should) maintain insurance covering:

  • Liability: liability coverage amount
  • Property damage: property damage coverage
  • Theft and loss: theft coverage

Proof of insurance must be provided: insurance proof required

9. Indemnification

Renter agrees to indemnify, defend, and hold harmless Owner from and against any and all claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Renter's use or operation of the equipment
  • Injury to persons or property
  • Violation of laws or regulations
  • Breach of this Agreement

10. Risk of Loss

Risk of loss, theft, or damage to the equipment passes to Renter upon delivery/pickup and remains with Renter until equipment is returned to Owner and inspected.

11. Termination

Early Termination by Renter: Renter may terminate early with early termination notice days days notice. Rental fees are non-refundable but Renter will not owe fees for unused rental period beyond notice period.

Termination by Owner: Owner may terminate immediately if:

  • Renter breaches this Agreement
  • Renter uses equipment improperly or unsafely
  • Payment is not made when due
  • Equipment is at risk of damage or loss

Effect of Termination: Upon termination, Renter must immediately return equipment. Renter remains liable for all fees and damages.

12. Representations and Warranties

Owner Represents:

  • Owner has legal right to rent the equipment
  • Equipment is in working condition and safe for intended use
  • Owner will provide operating manuals if available: manuals provided

Renter Represents:

  • Renter has authority to enter this Agreement
  • Renter has necessary licenses/qualifications to operate equipment
  • Renter will use equipment safely and in compliance with laws

Disclaimer: EQUIPMENT IS RENTED "AS-IS" EXCEPT AS EXPRESSLY STATED. OWNER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

13. Default and Remedies

Default: Renter is in default if:

  • Payment is not made when due
  • Equipment is not returned when due
  • Renter breaches any material term

Remedies: Upon default, Owner may:

  • Demand immediate return of equipment
  • Retain security deposit
  • Pursue legal action for damages
  • Charge Renter for all collection costs and attorney fees

14. Additional Terms

Fuel/Power: fuel terms (e.g., equipment must be returned with full tank, Renter pays for electricity)

Consumables: consumables terms (e.g., Renter pays for oil, filters, blades)

Licenses and Permits: Renter is responsible for obtaining any required licenses or permits for equipment use.

Environmental Compliance: Renter must comply with all environmental laws and regulations. Renter is responsible for any environmental cleanup or fines.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties. No modifications except in writing signed by both parties.

16. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of governing jurisdiction.

Any disputes shall be resolved in the courts of dispute jurisdiction.

17. Severability

If any provision is invalid, the remaining provisions continue in effect.
